Article 1 : Object
The present general conditions of sale and use can be completed by particular conditions.
In case of contradiction between the present general conditions of sale and use and the particular conditions applicable to the service subscribed to, the latter prevail.
The present general conditions of sale and use are governed by French law.
The present general conditions of sale and use govern the framework in which AdKyNet provides the customer with the service to which the customer has subscribed.
The subscription of the customer to one of the offers proposed by AdKyNet implies full understanding and acceptance by the customer of these general conditions of sale and use.
No tolerance from AdKyNet in the execution of these general terms and conditions of sale and use shall not be construed as a waiver of the terms hereof or of any applicable special conditions.
In case of discrepancy between this English version and the French version, the French version prevails.
Article 2 : Conditions of registration
The customer declares to be over 18 years old and to have full legal capacity to avoid any suspension, if any information appears to be false or incorrect we will not hesitate to suspend the account and services without any notice.
A person has an account with AdKyNet he/she has correctly completed the account registration form and has read and agreed to these terms and conditions of sale and use.
AdKyNet reserves the right to verify identities at any time by requesting administrative documents (proof of address, invoice, ID...).
Following the creation of the customer's account, the customer receives an email acknowledging the opening of his account containing the information necessary to connect to his account.
We also prohibit the creation of double accounts, under penalty of immediate suspension of accounts without any notice (including active services).
Any inactive account older than 12 months and without active services/domains, the account is permanently deleted.
Article 3 : Scope - Consumer and Professional Customer
For the purposes hereof, the "Consumer" means any natural person acting for purposes which are outside his commercial, industrial, craft, liberal or agricultural activity. The "Professional" means any natural or legal person acting within the scope of such an activity.
The provisions expressly designated as reserved to the Consumer - namely the right of withdrawal (Article 4), tacit renewal and its prior notice (Article 6), online termination and mid-year termination (Article 7) and consumer mediation (Article 18) - do not apply to the Professional Customer.
Article 4 : Right of withdrawal
In accordance with articles L221-18 et seq. of the French Consumer Code, the Consumer has a period of 14 (fourteen) days to withdraw, without having to give reasons or pay penalties, from the conclusion of the contract.
The Consumer exercises this right by any unambiguous statement before the expiry of the aforementioned period, in particular by email to support@adkynet.com, via the form made available in his customer area, or by post to AdKyNet SAS - 5 rue des bleuets, 89260 Perceneige, France. A model withdrawal form is made available to him.
In the event of a valid exercise of the right of withdrawal, the refund is made using the payment method originally used by the customer as far as possible.
Article 5 : Commitment, term and recurring billing
5.1 - Commitment term. Each offer specifies whether it is provided without commitment or with a commitment term. Where a commitment term applies, it is chosen among: quarterly (3 months), half-yearly (6 months), yearly (12 months) or biennial (24 months). Unless otherwise provided by the particular conditions applicable to the service subscribed to, the commitment term may not exceed 24 months. Where an offer proposes a 24-month commitment, a shorter commitment term is also offered for the same service.
5.2 - Payment frequency. Depending on the offer, payment is either aligned with the commitment term (paid in advance for each cycle) or split into shorter instalments spread over the commitment term (for example a 24-month commitment paid monthly). The applicable frequency is stated on the offer and recalled before the order is validated.
5.3 - Pre-contractual information. Before the order is validated, the customer is clearly informed of any commitment term, the payment frequency, the amount of each instalment and the total amount due over the entire commitment term. Validation of the order, carried out by means of a function whose wording mentions an obligation to pay, constitutes acceptance of these elements.
5.4 - Fixed price. The subscribed price is fixed for the entire commitment term. Any price change applies only from renewal and is subject to prior notice under the conditions of Article 6.
5.5 - Recurring payment. The customer authorises AdKyNet to charge the instalments according to the chosen frequency, using the registered payment method (bank card or SEPA direct debit mandate). The first payment is subject to strong customer authentication; subsequent payments are initiated by AdKyNet on the basis of that authorisation. The customer is informed of the amount and date of each upcoming instalment.
5.6 - Early termination of a commitment. In the event of termination by the customer before the end of the commitment, for a reason not attributable to AdKyNet, "sums remaining due" means the fraction of the total commitment cost corresponding to the period not yet elapsed:
No sum is owed by the customer, and the unused pro rata is fully refunded to him, where the termination results from a breach by AdKyNet or a legal case (force majeure, death, other recognised legitimate reason).
5.7 - Payment mode of the offer. The payment mode applicable to an offer is determined by the payment method (module) used by the customer, and is not freely chosen by the latter. Where the registered payment method allows recurring charging, the offer is renewed and paid automatically under the conditions of Article 5.5 (automatic charging). Otherwise, payment is made manually: the customer receives an invoice for each instalment and is solely responsible for its settlement before the stated due date; in the absence of payment, the service is suspended and then terminated under the conditions of Article 15.1, without any automatic charging occurring. The mode applicable to each offer is stated when ordering and recalled in the customer area.
Article 6 : Tacit renewal (Consumer)
At the end of the commitment period, the contract is tacitly renewed for periods equivalent to the initial commitment term.
In accordance with article L215-1 of the French Consumer Code, AdKyNet informs the Consumer, in writing and at the earliest three months and at the latest one month before the end of the current period, of his right not to renew the contract. In the absence of such information, the Consumer may terminate the contract free of charge, at any time from the renewal date; sums charged after that date are refunded to him.
Article 7 : Termination
Offers without commitment and contracts having reached their term. The customer may terminate at any time; termination takes effect at the end of the current period. In accordance with article L215-1-1 of the French Consumer Code, the Consumer who subscribed online has, in his customer area, a termination feature that is permanently accessible and as simple to use as the subscription.
During a commitment. Termination before the term is possible under the financial conditions set out in Article 5.6.
Mid-year termination (Consumer). After the first year, where the contract is tacitly renewed, the Consumer may terminate it at any time, with termination taking effect no later than one month after notice is given.
Article 8 : Password
The customer is the only one responsible for the use of his password and commits himself to keep it secret and not to reveal it.
We are not responsible for the loss of the password and hacking of the account.
Article 9 : Refund
Except for the exercise of the right of withdrawal (Article 4) and except in the cases provided for in Articles 5.6 and 6, no refund is due for a service that has been subscribed and made available. The customer must contact support with a valid reason for any refund request.
In case of a refund granted, the payment method you used will be used to refund you.
Domain names are neither exchangeable nor refundable.
The Customer can demand the deletion of his credit card from the customer area by simple request via our support.
No refund will be given for misuse of the product, a concern external to AdKyNet, or a suspension of the product justified by the customer's breach of these conditions. Any customer balance in the form of credit is not refundable.
Article 10 : Availability of services
The customer declares and guarantees that he/she is fully aware of the characteristics and constraints of the Internet, and in particular that the transmission of data and information on the Internet is only relatively reliable. These circulating on heterogeneous networks with diverse characteristics and technical capacities, which disrupt access or make it impossible at certain times.
AdKyNet makes every effort to maintain all of its services 7 days a week, 24 hours a day, but is under no obligation to do so.
AdKyNet may therefore interrupt access, in particular for maintenance and upgrade reasons, or for any other reason, particularly technical.
AdKyNet is in no way responsible for these interruptions and the consequences that may result for the customer or any third party.
AdKyNet's customers can consult the Status
AdKyNet reserves the right to interrupt a service, especially if the service in question constitutes a danger for the maintenance of its platform.
AdKyNet excludes all warranties, express or implied, including but not limited to any warranty of value, quality, correspondence to description, or fitness of the AdKyNet site for a particular purpose.
AdKyNet reserves the right to block a person from the entire infrastructure in case of DDoS, for an unlimited time.
AdKyNet does not warrant that the use or the result of the use of the materials available through AdKyNet or third party sites will be correct, accurate, timely, reliable or of any quality.
In no case AdKyNet shall not be liable for any loss of or damage to data. Any information or advice provided by AdKyNet shall not be construed as a warranty of any kind.
AdKyNet sets up a backup service. However, the customer undertakes to make his own backups. AdKyNet is in no way obliged to make the backups available to the customer.
In the event of a DDoS attack carried out using the services made available by AdKyNet, the latter reserves the right to close access to the services used permanently and without notice.
Article 11 : Hosted content
AdKyNet is in no way responsible for the files hosted on its servers, only the customer is responsible.
In case of copyright infringement, AdKyNet reserves the right to edit or delete files that use copyrighted material.
AdKyNet is in no way responsible for the flaws on the hosted files.
AdKyNet reserves the right to claim compensation for any damage suffered.
AdKyNet does not accept sites of a pornographic nature, defamatory, containing illicit data, documents under copyright, constituting threats or infringing on good morals and the proper functioning of its servers.
Article 12 : Customer's obligation
The client declares to fully accept all legal obligations arising from the ownership of its services.
AdKyNet shall not be sought or troubled in this regard for any reason whatsoever, including any violation of laws or regulations applicable to the Customer's Services.
The customer undertakes to intervene at the request of AdKyNet to any proceedings brought against the latter and to guarantee to AdKyNet of all the sentences which would be pronounced against it on this occasion.
The customer undertakes to pay directly to the author of the complaint any sum that the latter would require from AdKyNet.
Consequently, the customer undertakes to deal personally with any claim and/or proceedings, whatever their form, purpose or nature, which may be brought against AdKyNet and which is related to the obligations of the customer under this contract.
The customer, who is solely responsible for the content hosted, undertakes to defend AdKyNet at its own expense in the event that the latter would be the object of an action in claim, relating to the data, information, messages..., and to take at its charge the compensation due in repair of the damage possibly undergone, provided that it has full freedom to compromise and conduct the procedure.
The customer undertakes to put in place the means of safeguarding necessary for the continuity of its activity.
The customer agrees to respect the people who work at AdKyNet, from the lowest to the highest position. Failure to respect the team will result in the customer being banned from support and no further assistance from AdKyNet. The customer is exposed to the suspension of these services without notice.
The customer agrees not to use the service's features to send messages in large numbers (spam), to people who do not wish to receive them or to incorrect addresses. In this respect, AdKyNet reserves the right to install software tools on the service concerned to prevent these practices.
Article 13 : Delivery
AdKyNet undertakes to deliver the ordered services within a maximum of 14 working days. If this period is exceeded, the customer must contact the support.
Article 14 : Changes in services
AdKyNet may change the features of its services. Any permanent interruption or substantial adverse change, at AdKyNet's initiative, of a service under commitment is subject to reasonable notice and gives rise, at the customer's choice, to an equivalent solution or to the refund of the unused prepaid pro rata. Interruptions for maintenance or for a technical or security requirement remain reserved.
Article 15 : Payments and disputes
Before opening a dispute with the payment company, the customer agrees to contact AdKyNet by e-mail to the following address: support@adkynet.com.
The customer can open a dispute if no answer is given within 30 working days.
In the event of a dispute, AdKyNet favours amicable resolution. The suspension of a service occurs only after a formal notice has remained without effect, except in an emergency relating to the security of the platform. A service suspended wrongly is restored free of charge.
In case of a PayPal dispute from a bank, AdKyNet reserves the right to pass on the bank's processing fees to the customer (16 euros per transaction). AdKyNet reserves the right to call upon a collection company. The costs of collection will be charged to the customer.
Article 15.1 : Late payments and unpaid bills
Similarly, in the event of late payment for a hosting service, AdKyNet shall be entitled to suspend without delay the said hosting of the Customer.
If the Customer's formal notice remains without effect, AdKyNet may assign its claim to a factoring company at any time, in which case payment shall be made to the account mentioned on the invoice drawn up by the latter. In this case, AdKyNet will invoice the Customer the fixed sum of 50€ for administrative costs incurred for recovery purposes.
As a matter of principle, the Customer shall pay for the goods or services when ordering. As an exception, the recurring fees mentioned in the tariffs are payable according to the frequency and commitment term chosen, under the conditions of Article 5.
Article 16 : Non-compliance with the contract
In the event of non-compliance with these conditions, AdKyNet reserves the right to suspend the customer's access to his account by permanently terminating it. The customer's account will be automatically terminated without delay and without any formality, without prejudice to any damages for AdKyNet. If the contract contains the design of a web site, then the web site can be deleted by AdKyNet only in case of non-payment of the invoices related to this service. AdKyNet reserves the right to immediately terminate the service provided, in particular if the customer's behavior is incompatible with the terms of the general conditions.
The client agrees to act with diligence in responding to any claims. The client shall keep AdKyNet indemnified at all times, on first demand, against any action, proceedings, complaint, claim, lawyers' fees, expert fees, tax charges, adjudged sums and damages of any origin, whether direct or indirect, and any advances made, related to the customer's non-compliance with any of the commitments defined herein and/or to the use of the services.
Article 17 : Modification of the contract
AdKyNet reserves the right to modify the present conditions. The modifications are presented on the site AdKyNet and it is then up to the customer to go and read it, which he expressly accepts. An e-mail will be sent to the customer to inform him of any changes. If the customer does not agree with the modifications, he can send an e-mail to support@adkynet.com but you agree that your services may be suspended due to non-compliance with the contract.
Article 18 : Consumer mediation
In accordance with articles L611-1 et seq. of the French Consumer Code, the Consumer is entitled to have free recourse to a consumer mediator with a view to the amicable resolution of a dispute between him and AdKyNet.
Beforehand, the Consumer must have sent a written complaint to AdKyNet support (support@adkynet.com) and must not have obtained satisfaction, or any reply, within one month. The mediator must be referred to within one year following that written complaint.
The consumer mediator to which AdKyNet is affiliated is: the Société de la Médiation Professionnelle (SMP) - Médiateur de la consommation, Alteritae, 5 rue Salvaing, 12000 Rodez, France. The Consumer may refer the matter to it free of charge via the online form (request a mediation) or by post to that address. Website: www.mediateur-consommation-smp.fr.
The Consumer may also report any dispute on the public platform SignalConso (signal.conso.gouv.fr).
Article 19 : Support and claims
For any question, the customer can contact AdKyNet by all means of support set up, namely support tickets (from the customer area), by email support@adkynet.com or Twitter.
Article 20 : Prices and billing
All our prices include VAT (20% French VAT).
As soon as the customer has ordered hosting or any other services on the site https://www.adkynet.com, the customer has an invoice at his disposal.
If the customer orders on the site https://www.adkynet.com and the customer has not paid after 48 hours AdKyNet reserves the right to add a late fee.
If the customer has an active service on AdKyNet and has not paid after 2 days the product is suspended.
Article 21 : Support access to your services (assistance)
The customer may, from the client area, authorise temporary support access to one of their services in order to allow diagnosis and resolution. This authorisation is given freely by the customer, for a duration of their choosing (time-limited) or until revocation, and may be revoked at any time in one click.
The customer is notified on every access performed by support in this context. Support never accesses or reads the customer's password: access is carried out through a temporary, dedicated technical credential that is automatically removed at the end of the intervention. The customer's own credentials are neither read nor modified.
Absent an active authorisation from the customer, AdKyNet does not access the interior of the service, subject to the cases set out in Article 22.
Every access is recorded in a tamper-proof log.
Article 22 : Abuse reports, suspension, preservation and cooperation with authorities
In accordance with its status as a host (French law No. 2004-575 – LCEN – and Regulation (EU) 2022/2065 – DSA), AdKyNet is under no general obligation to monitor hosted content and does not proactively inspect customers' content.
Upon a report of manifestly illicit content, or at the request of a competent authority, AdKyNet may promptly suspend or isolate the service concerned (in particular by cutting off its network access, without necessarily deleting it), and preserve the data or snapshots strictly necessary for the purpose of evidence preservation, without inspecting their content.
AdKyNet cooperates with the competent authorities. Upon a judicial or administrative requisition, AdKyNet may access the service and/or disclose only the data strictly necessary, on the basis of the legal obligation to which it is subject (art. 6(1)(c) GDPR). Such access is subject to a two-person internal control and is fully logged.
The customer is informed of any such access, except where the measure or the order from which it arises imposes confidentiality. Access and preservation are limited to what is strictly necessary (minimisation); preserving evidence does not entail inspecting its content.
This article supplements Articles 10, 11, 12 and 16.
